These Membership Terms and Conditions ("Membership Terms") apply to all paid memberships on the Early Years Klique platform held by nurseries, schools, childminders, and similar early years settings. They sit alongside our main Terms of Service, which apply to all use of the platform. In the event of any conflict between these Membership Terms and the main Terms of Service, these Membership Terms take precedence in respect of paid membership matters.

Definitions "Member": an early years setting, nursery, school, childminder, or similar organisation that has purchased a paid EYk membership. "Practitioner": a self-employed Early Years professional registered on the EYk platform. "Booking": a confirmed engagement of a Practitioner through the EYk platform for a single shift or session of cover. "Permanent Placement": the engagement of a Practitioner first introduced via EYk on a permanent or fixed-term contract of three months or more directly by the Member. "Billing Month": the one-month period beginning on the date your membership starts, and each subsequent one-month period.

EYk Membership There is a single EYk Membership for nurseries. 3.1 Membership fee £85 per month, billed monthly in advance. 3.2 What's included Unlimited Bookings of vetted Practitioners Access to the full Practitioner directory and profiles Direct booking and payment via the platform Access to the EYk Nurseries Toolkit and resources Standard support via email 3.3 Membership starts Your membership begins on the date of your first successful payment.

EYk vetting All Practitioners on the EYk platform are vetted by EYk before their profiles become visible to Members. Our standard vetting includes: Enhanced DBS verification (including the Children's Barred List check), confirmed via certificate or DBS Update Service Identity verification Right-to-work confirmation Two professional references, verified directly with the previous setting Qualification verification Confirmation of self-employed status (including UTR) A safeguarding self-declaration Members remain solely responsible for their own due diligence, including any additional reference or qualification checks, induction, supervision, and compliance with their statutory safer-recruitment, safeguarding, and employment obligations as a childcare provider. EYk's vetting is a baseline check to support, not replace, those obligations.

Bookings 5.1 Unlimited bookings Your EYk Membership includes unlimited Bookings per month at no additional booking fee. You pay only for the agreed shift cost at the point of booking (the Practitioner's rate × hours). 5.2 Payment at booking Bookings are paid at the time of booking. Payment is processed by Stripe and held until the shift is confirmed complete via QR clock-out at your setting. Funds are then released to the Practitioner. 5.3 Cancellations by the Member You may cancel a Booking up to 24 hours before the agreed start time at no charge. Cancellations made within 24 hours of the start time may be subject to a cancellation fee equal to a reasonable proportion of the booking value, in recognition of the Practitioner's reserved time. 5.4 Cancellations or no-shows by the Practitioner If a Practitioner cancels or fails to attend a confirmed Booking, payment will not be released to them. Contact us at hello@earlyyearsklique.co.uk and we will support you to find replacement cover where possible. Repeated no-shows by a Practitioner result in removal from the platform. 5.5 Fair usage We reserve the right to investigate and, where reasonable, restrict use of the platform where Bookings are being misused (for example, repeated cancellations made to circumvent payment, or attempts to engage Practitioners outside the platform).

Permanent Placements 6.1 When a Permanent Placement fee applies A Permanent Placement fee becomes payable when a Member directly engages a Practitioner first introduced through EYk on a permanent or fixed-term contract of three months or more, within 12 months of that introduction. This applies whether or not the Practitioner was previously booked through the platform. 6.2 Permanent Placement fee The Permanent Placement fee is a flat fee of £950 per Permanent Placement, regardless of the Practitioner's salary, role, or hours. The Permanent Placement fee is the only charge payable to EYk in connection with a Permanent Placement. 6.3 Notification and invoicing Members must notify EYk in writing within 14 days of agreeing a Permanent Placement, providing the Practitioner's name, role, and start date. EYk will invoice the Permanent Placement fee on the Practitioner's start date, payable within 30 days. 6.4 Placement guarantee If the placed Practitioner leaves the role within the first 8 weeks of their start date for reasons unrelated to the Member's conduct, EYk will, at the Member's option: Provide one free replacement search through the platform, or Refund 50% of the Permanent Placement fee paid 6.5 Circumvention Engaging a Practitioner first introduced through EYk on a permanent or fixed-term basis without paying the applicable Permanent Placement fee, or deliberately delaying or concealing a Permanent Placement to avoid the fee, is a breach of these Membership Terms.

Reviews After a confirmed Booking, Members may leave a written review and a star rating for the Practitioner. Reviews must be honest, factual, and respectful. EYk may remove reviews that contain inappropriate, abusive, defamatory, or identifying information (for example, identifying a child).

Payment of membership fee 8.1 Monthly billing The Membership fee is billed monthly in advance via Stripe. Your first payment is taken on the date your membership starts, and each subsequent payment is taken on the same date each month (your "billing date"). If your billing date does not exist in a given month (for example, the 31st), payment will be taken on the last day of that month. 8.2 Auto-renewal Your membership renews automatically each month until you cancel. By subscribing, you authorise us (via Stripe) to charge your chosen payment method the Membership fee on each billing date. You can cancel at any time in line with clause 10. 8.3 Price changes We may change the Membership fee or Permanent Placement fee from time to time. We will give you at least 30 days' written notice before any change takes effect. The new price will apply from your next billing date after the notice period. If you do not wish to accept the new price, you may cancel before it takes effect. 8.4 Failed payments If a Membership payment fails, we will attempt collection up to three times over 14 days. If payment is not received, your membership will be suspended and ultimately terminated. You will lose access to the platform until payment is made. Reactivation may require a new sign-up.

14-day cooling-off period Where you are entitled to a statutory right to cancel under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you have 14 days from the date your membership starts to cancel and receive a refund. If you ask us to begin providing the membership service during the 14-day cooling-off period (for example, by making the platform and Practitioner profiles available to you immediately), and you then cancel within the 14 days, we may charge you a proportionate amount for the service provided up to the point you told us you wished to cancel. If you have used a paid feature that has led to an engagement (including Bookings or Permanent Placement introductions that have led to engagement), a reasonable deduction reflecting the value of that service may be made. To exercise this right, email hello@earlyyearsklique.co.uk within 14 days of your purchase. This does not affect your ongoing right to cancel your monthly membership at any time under clause 10.

Cancellation 10.1 How to cancel You can cancel your membership at any time by: Emailing hello@earlyyearsklique.co.uk, or Using the cancellation option in your member account dashboard We aim to make cancelling as easy as joining. You will not be required to make a phone call or follow any process more onerous than how you signed up. 10.2 What happens when you cancel Your membership remains active until the end of the Billing Month you have already paid for You retain full access to your membership benefits until that date Your membership will not renew, and no further payments will be taken We do not provide partial refunds for the remainder of a Billing Month already paid for, except where required by law Any Permanent Placement fee already invoiced or payable under clause 6 remains due 10.3 Termination by EYk We may suspend or terminate your membership immediately if you breach these terms, the main Terms of Service, or applicable law — particularly any safeguarding, employment, anti-discrimination, or right-to-work obligations. In such cases, no refund will be given.

Service availability We aim to keep the EYk platform available 24/7 but cannot guarantee uninterrupted access. We may carry out maintenance, updates, or temporary suspensions, and will give reasonable notice where possible.

Limitation of liability Nothing in these Membership Terms limits our liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be limited or excluded by law. Subject to that: Our total liability to you under or in connection with your membership will not exceed the Membership fees you have paid in the 12 months preceding the event giving rise to the claim We are not liable for indirect, consequential, or pure economic losses We are not liable for the conduct, performance, or actions of Practitioners booked or placed through the platform. Members remain responsible for their own due diligence, employment compliance, safeguarding processes, and management of placed staff

Changes to these terms We may update these Membership Terms from time to time. We will notify you of material changes at least 30 days before they take effect. Continued use of your membership after the change date constitutes acceptance. If you do not accept a material change, you may cancel in line with clause 10 before it takes effect.

Governing law and jurisdiction These Membership Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
